Welcome to Receipts2sheets!

These terms and conditions apply to the Receipts2sheets app (hereby referred to as "Application") for mobile devices that was created by Stewart Gauld (hereby referred to as "Service Provider") as a Freemium service.

Upon downloading or utilizing the Application, you are automatically agreeing to the following terms. It is strongly advised that you thoroughly read and understand these terms prior to using the Application. Unauthorized copying, modification of the Application, any part of the Application, or our trademarks is strictly prohibited. Any attempts to extract the source code of the Application, translate the Application into other languages, or create derivative versions are not permitted. All trademarks, copyrights, database rights, and other intellectual property rights related to the Application remain the property of the Service Provider.

The Service Provider is dedicated to ensuring that the Application is as beneficial and efficient as possible. As such, they reserve the right to modify the Application or charge for their services at any time and for any reason. The Service Provider assures you that any charges for the Application or its services will be clearly communicated to you.

The Application stores and processes personal data that you have provided to the Service Provider in order to provide the Service. It is your responsibility to maintain the security of your phone and access to the Application. The Service Provider strongly advise against jailbreaking or rooting your phone, which involves removing software restrictions and limitations imposed by the official operating system of your device. Such actions could expose your phone to malware, viruses, malicious programs, compromise your phone's security features, and may result in the Application not functioning correctly or at all.

Please note that the Application utilizes third-party services that have their own Terms and Conditions. Below are the links to the Terms and Conditions of the third-party service providers used by the Application:

• Google Play Services

• Appwrite Database Panel

• Google Services (Google Sign In, Drive, Sheets)

• Google ML Kit for OCR processing

Please be aware that the Service Provider does not assume responsibility for certain aspects. Some functions of the Application require an active internet connection, which can be Wi-Fi or provided by your mobile network provider. The Service Provider cannot be held responsible if the Application does not function at full capacity due to lack of access to Wi-Fi or if you have exhausted your data allowance.

If you are using the application outside of a Wi-Fi area, please be aware that your mobile network provider's agreement terms still apply. Consequently, you may incur charges from your mobile provider for data usage during the connection to the application, or other third-party charges. By using the application, you accept responsibility for any such charges, including roaming data charges if you use the application outside of your home territory (i.e., region or country) without disabling data roaming. If you are not the bill payer for the device on which you are using the application, they assume that you have obtained permission from the bill payer.

Similarly, the Service Provider cannot always assume responsibility for your usage of the application. For instance, it is your responsibility to ensure that your device remains charged. If your device runs out of battery and you are unable to access the Service, the Service Provider cannot be held responsible.

In terms of the Service Provider's responsibility for your use of the application, it is important to note that while they strive to ensure that it is updated and accurate at all times, they do rely on third parties to provide information to them so that they can make it available to you. The Service Provider accepts no liability for any loss, direct or indirect, that you experience as a result of relying entirely on this functionality of the application.

The Service Provider may wish to update the application at some point. The application is currently available as per the requirements for the operating system (and for any additional systems they decide to extend the availability of the application to) may change, and you will need to download the updates if you want to continue using the application. The Service Provider does not guarantee that it will always update the application so that it is relevant to you and/or compatible with the particular operating system version installed on your device. However, you agree to always accept updates to the application when offered to you. The Service Provider may also wish to cease providing the application and may terminate its use at any time without providing termination notice to you. Unless they inform you otherwise, upon any termination, (a) the rights and licenses granted to you in these terms will end; (b) you must cease using the application, and (if necessary) delete it from your device.

Changes to These Terms and Conditions

The Service Provider may periodically update their Terms and Conditions. Therefore, you are advised to review this page regularly for any changes. The Service Provider will notify you of any changes by posting the new Terms and Conditions on this page.

1. Acceptance of Terms

By downloading, installing, accessing, or using Receipts2Sheets (the "App" or "Service"), developed by Stewart Gauld (the "Service Provider") as a Freemium service, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. This service is provided "AS IS". If you do not agree to these Terms, please do not use the App.

By creating an account or using the App, you represent that:

• You are at least 13 years old (or 16 in the EEA)

• You have the legal capacity to enter into this agreement

• You will comply with all applicable laws and regulations

• All information you provide is accurate and complete

2. Description of Service

Receipts2Sheets provides:

• Receipt Scanning: Mobile receipt digitization and capture services

• AI-Powered Extraction: Automated data extraction from receipt images using artificial intelligence

• Google Sheets Integration: Seamless synchronization with Google Sheets for expense tracking

• Cloud Storage: Secure storage for receipt images and extracted data

• Data Analytics: Insights and analytics based on your expense data

Service Availability: We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service. The App is provided "as is" and may be modified or discontinued at any time.

3. User Accounts

3.1 Account Creation

• You must provide accurate, complete, and current information when creating an account

• You may not use someone else's account or misrepresent your identity

• You may not create multiple accounts for fraudulent purposes

• You must be at least 13 years old (or 16 in the EEA) to create an account

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials

• You must use a strong, unique password

• You are responsible for all activities that occur under your account

• You must notify us immediately of any unauthorized access or security breach

• We are not liable for losses caused by unauthorized use of your account

3.3 Account Information

• You must keep your account information current and accurate

• You must not share your account credentials with others

• We reserve the right to suspend or terminate accounts with false information

4. Acceptable Use Policy

4.1 Prohibited Activities

You agree NOT to:

• ❌ Use the App for any illegal or unauthorized purpose

• ❌ Upload false, misleading, fraudulent, or fabricated receipts

• ❌ Attempt to hack, reverse engineer, decompile, or compromise the App's security

• ❌ Share your account with others or use others' accounts without permission

• ❌ Use the App to store non-receipt related content or inappropriate material

• ❌ Violate any applicable laws, regulations, or third-party rights

• ❌ Interfere with or disrupt the App's servers or networks

• ❌ Collect or harvest user data without consent

• ❌ Use automated tools (bots, scrapers) to access the App

• ❌ Impersonate any person or entity

• ❌ Upload viruses, malware, or harmful code

• ❌ Attempt to gain unauthorized access to other user accounts

• ❌ Use the App for commercial purposes without authorization

• ❌ Resell or redistribute the Service without permission

4.2 Consequences of Violation

Violation of these terms may result in:

• Immediate suspension or termination of your account

• Removal of your content

• Legal action and reporting to law enforcement

• Liability for damages caused by your violations

5. Subscription and Payment Terms

5.1 Free and Paid Plans

• Free Plan: Limited features available at no cost

• Premium Plans: Enhanced features require paid subscription

• Free Trial: New users may receive a free trial period (if offered)

• Plan Comparison: Feature differences are clearly stated in the App

5.2 Subscription Billing

• Subscription fees are billed in advance on a monthly basis

• Billing occurs through Apple App Store or Google Play Store

• Subscriptions automatically renew unless cancelled before renewal date

• Prices are in USD (or your local currency as displayed)

• Taxes and fees may apply based on your location

5.3 Free Trials

• Free trials are available for first-time subscribers only

• You will be charged after the trial period ends unless you cancel

• You can cancel anytime during the trial period without charge

• Trial terms may vary by promotion

5.4 Cancellation

• You may cancel your subscription at any time through your App Store account

• Cancellation takes effect at the end of the current billing period

• You retain access to paid features until the end of the billing period

• No refunds for partial billing periods

5.5 Refund Policy

• All payments are generally non-refundable except as required by law

• Refund requests are handled by Apple App Store or Google Play Store per their policies

• Exceptional refunds may be granted at our sole discretion

5.6 Price Changes

• We reserve the right to modify subscription prices at any time

• Price changes will be communicated at least 30 days in advance

• Price changes apply to new subscriptions and renewals

• You may cancel if you don't agree to price changes

6. Intellectual Property Rights

6.1 Our Intellectual Property

• The App, including its design, features, functionality, and content, is owned by Receipts2Sheets

• All trademarks, logos, service marks are our property

• The App is protected by copyright, trademark, and other intellectual property laws

• You may not copy, modify, distribute, sell, or lease any part of the App

• You may not reverse engineer or attempt to extract source code

6.2 Your Content

• You Retain Ownership: You own all receipt images and data you upload

• License to Us: You grant us a limited license to process, store, and display your receipts to provide the Service

• License Terms: Non-exclusive, worldwide, royalty-free license for service operation

• License Termination: License terminates when you delete content or close your account

6.3 User Responsibilities

• You are responsible for ensuring you have rights to upload content

• You must not upload copyrighted material without permission

• You must not infringe on others' intellectual property rights

7. Privacy and Data Protection

• Your use of the App is subject to our Privacy Policy

• We do not sell or share your personal data with third parties for marketing purposes

• We implement industry-standard security measures to protect your data

• You can delete your account and data at any time

• We comply with GDPR, CCPA, and other applicable privacy laws

8. Third-Party Services and Integrations

8.1 Third-Party Platforms

• The App integrates with Google Sheets, Google Drive, and other third-party services

• Your use of third-party services is subject to their separate terms and conditions

• We are not responsible for third-party service availability, functionality, or terms

• Third-party services may collect and use your data per their privacy policies

8.2 App Stores

• Download from Apple App Store or Google Play Store is subject to their terms

• In-app purchases are processed through these platforms

• Apple and Google are not parties to these Terms

• Apple and Google are not responsible for the App or support

8.3 Third-Party Links

• The App may contain links to third-party websites or services

• We do not endorse or control third-party content

• Access to third-party sites is at your own risk

9. Disclaimers and Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

9.1 No Warranties

We disclaim all warranties, express or implied, including but not limited to:

• ❌ Merchantability or fitness for a particular purpose

• ❌ Non-infringement of intellectual property

• ❌ Uninterrupted, error-free, or secure operation

• ❌ Accuracy, reliability, or completeness of content

• ❌ Correction of defects or errors

9.2 Data Accuracy

• We do not guarantee 100% accuracy in receipt data extraction

• AI and OCR technology may produce errors or omissions

• Users must verify all extracted data for accuracy

• We are not responsible for financial or tax decisions based on App data

• The App is not a substitute for professional financial or tax advice

9.3 Service Availability

• We do not guarantee continuous, uninterrupted access to the App

• The App may be unavailable due to maintenance, updates, or technical issues

• We may modify or discontinue features without notice

• We are not liable for service interruptions

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECEIPTS2SHEETS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10.1 Excluded Damages

We are not liable for:

• Loss of profits, revenue, or business opportunities

• Loss of data or information

• Business interruption

• Loss of anticipated savings

• Indirect, consequential, special, or punitive damages

• Damages arising from use or inability to use the App

• Errors or inaccuracies in extracted data

• Third-party actions or content

• Unauthorized access to your account

10.2 Exceptions

This limitation does not apply where prohibited by law or to liability for:

• Death or personal injury caused by our negligence

• Fraud or fraudulent misrepresentation

• Gross negligence or willful misconduct

11. Indemnification

You agree to indemnify, defend, and hold harmless Receipts2Sheets, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including attorney fees) arising from:

• Your use or misuse of the App

• Your violation of these Terms

• Your violation of any law or regulation

• Your violation of third-party rights

• Content you upload or submit

• Your negligence or willful misconduct

12. Dispute Resolution and Arbitration

⚠️ IMPORTANT ARBITRATION NOTICE

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

12.1 Informal Dispute Resolution

Before filing any formal dispute, you agree to contact us at stewart@sheetifycrm.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 60 days.

12.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except as provided below.

Arbitration Terms:

• Arbitration will be conducted by the American Arbitration Association (AAA)

• Arbitration will be held in [Your State/Location] or via video conference

• The arbitrator's decision is final and binding

• You waive your right to a jury trial

• You waive your right to participate in a class action

12.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, NOT AS PART OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12.4 Exceptions to Arbitration

You may file claims in small claims court if they qualify. We may seek injunctive relief in court to protect our intellectual property.

12.5 Opt-Out Right

You may opt out of arbitration within 30 days of accepting these Terms by emailing stewart@sheetifycrm.com with your name, address, and a clear statement that you wish to opt out.

13. Termination

13.1 Termination by You

• You may terminate your account at any time through the App settings

• You may also email stewart@sheetifycrm.com to request account deletion

• Termination takes effect immediately upon deletion

• No refunds for unused subscription time

13.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms

• You engage in fraudulent or illegal activity

• Your account has been inactive for 1+ years

• Required by law or legal process

• You fail to pay subscription fees

13.3 Effect of Termination

• Your right to use the App immediately ceases

• Your data will be deleted per our retention policy

• Provisions that should survive termination will remain in effect

• You remain liable for any outstanding obligations

14. Governing Law and Jurisdiction

• Governing Law: These Terms shall be governed by the laws of the United States and the State of [Your State], without regard to conflict of law principles

• Jurisdiction: Subject to the arbitration provision, disputes shall be resolved in the courts of [Your State]

• International Users: If you access the App from outside the United States, you do so at your own risk and are responsible for compliance with local laws

15. Changes to These Terms

We reserve the right to modify these Terms at any time.

Notice of Changes:

• We will update the "Last Updated" date

• We will provide notice through the App or via email for material changes

• Changes take effect 30 days after notice (or immediately for legal compliance)

• Continued use after changes constitutes acceptance of new Terms

If you don't agree to changes, you must stop using the App and delete your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Receipts2Sheets and supersede all prior agreements or understandings.

16.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

16.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms at any time, including in connection with a merger or sale.

16.5 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, war, strikes, internet failures, government actions, pandemics).

16.6 Language

These Terms are written in English. Translated versions are for convenience only. In case of conflict, the English version controls.

16.7 Export Compliance

You agree to comply with all export and import laws. You will not export or re-export the App to prohibited countries or individuals.

16.8 Government Users

If you are a U.S. government entity, the App is a "commercial item" with only the rights granted to all users.

16.9 Survival

Provisions that should reasonably survive termination will do so, including: payment obligations, ownership rights, warranty disclaimers, indemnification, and liability limitations.

17. Apple-Specific Terms

If you access the App via Apple iOS:

• These Terms are between you and Receipts2Sheets, not Apple

• Apple has no obligation to provide support or maintenance

• Apple is not responsible for any claims related to the App

• Apple is a third-party beneficiary of these Terms and may enforce them

• The App complies with Apple's App Store Review Guidelines

18. Google Play-Specific Terms

If you access the App via Google Play:

• These Terms are between you and Receipts2Sheets, not Google

• Google has no obligation regarding the App

• Google is not responsible for any claims related to the App

• The App complies with Google Play Developer Program Policies

19. Beta Features and Testing

• We may offer beta or experimental features marked as "Beta," "Preview," or similar

• Beta features are provided "as is" with no warranties

• Beta features may be modified or discontinued without notice

• Feedback you provide may be used without compensation or attribution

20. Accessibility

We strive to make the App accessible to users with disabilities. If you encounter accessibility issues, please contact stewart@sheetifycrm.com.
